Our Company was originally incorporated as a private limited company under the name “United Techfab Private Limited” on April 16, 2012, under the provisions of the Companies Act, 1956, pursuant to a certificate of incorporation bearing CIN: U17120GJ2012PTC069888 issued by the Registrar of Companies, Gujarat, Dadra and Nagar Haveli. Subsequently, our Company was converted into a public limited company pursuant to a board resolution dated July 5, 2024 and special resolution passed by the shareholders at an Extra-Ordinary General Meeting held on July 5, 2024. Consequent to such conversion, the name of our Company was changed to “United Techfab Limited”, and a fresh certificate of incorporation dated August 28, 2024, was issued by the Registrar of Companies, Central Processing Centre. The Corporate Identification Number (CIN) of our Company is U17120GJ2012PLC069888.
Our Company is engaged in the manufacturing and trading of gray fabrics, denim fabrics, dyed fabrics and yarn. During Fiscal 2016, our Company established its fabric weaving facility at Miroli, Ahmedabad, Gujarat on a land parcel admeasuring approximately 11,230 square metres. Our manufacturing operations commenced during Fiscal 2016 with the installation of 60 automatic shuttleless air jet looms under Phase I of our expansion plan. During Fiscal 2017, we commenced commercial production and the manufacturing and trading of gray fabrics.
In order to augment our manufacturing capabilities, our Company undertook Phase II expansion during Fiscal 2021, pursuant to which an additional 60 automatic shuttleless air jet looms, together with ancillary machinery, were installed at our manufacturing facility. As of the date of this Draft Red Herring Prospectus, our manufacturing facility at Miroli is equipped with an aggregate of 120 air jet looms, having an annual installed weaving capacity of approximately 20.08 million metres of gray fabrics.
Weaving is the process of converting yarn into fabric by interlacing two distinct sets of yarns at right angles, viz., the warp (lengthwise yarn) and the weft (crosswise yarn). Our manufacturing process utilizes automatic shuttleless air jet loom technology; wherein compressed air is used to insert the weft yarn through the warp yarn to produce gray fabric. The use of air jet looms enables production with operational productivity and consistency in fabric quality.
